• Products — Equipment and devices, including third-party branded items.
• Service Agreement — A separate written agreement governing specific Services or monitoring.
• Content — Text, graphics, images, and materials on the Site.

You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purpose.

Prohibited activities include:

• Unlawful use or violations of these Terms
• Copying or creating derivative works without permission
• Interfering with Site security or servers
• Using automated scraping or data-harvesting tools
• Submitting false or fraudulent information
• Attempting unauthorized access to any system or account

The Site and its Content — excluding third-party trademarks — are owned by or licensed to Kaedbae LLC and are protected by applicable intellectual property laws. The Kaedbae LLC name, logo, and brand are trademarks that require prior written permission for any use.

Kaedbae LLC is an authorized reseller for multiple manufacturers. The appearance of any third-party brand on this Site does not imply affiliation, sponsorship, or endorsement beyond our authorized reseller relationship. Product availability and pricing are subject to change without notice.

Any quote, estimate, or proposal we provide — whether requested through the Site or otherwise — is for informational purposes only, is non-binding, and does not constitute a contract. Binding obligations arise only through signed Service Agreements or accepted orders.

These Terms govern your use of the Site but do not create obligations regarding Services. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement controls with respect to the Services it covers.

Products carry manufacturer warranties. Kaedbae LLC makes no independent warranty on third-party Products and passes through the applicable manufacturer warranty to you. We bear no responsibility for manufacturer discontinuations, service changes, or cloud feature modifications.

By using our Services, you acknowledge and accept the following limitations:

• No security system can guarantee prevention of loss, injury, intrusion, theft, fire, or other events.
• Systems depend on external communication paths (internet, cellular, power) that may fail.
• Equipment can malfunction or be defeated.
• Monitoring depends on current and accurate contact and premises information.
• You are responsible for testing systems and complying with all applicable permit requirements.

Not a Substitute for Insurance

Our Services are not, and are not a substitute for, insurance. You must obtain your own insurance coverage appropriate to your facility and risk profile.

By submitting information through the Site, you grant Kaedbae LLC a non-exclusive, royalty-free license to use that information to respond to you and provide the Services. We advise against submitting confidential or proprietary information through public web forms.

The Site may contain links to third-party websites provided for convenience only. These links do not constitute an endorsement, and Kaedbae LLC accepts no responsibility for external content, accuracy, or privacy practices.

The Site is provided "as is" and "as available." Kaedbae LLC disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

Kaedbae LLC shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Site. Our total aggregate liability to you shall not exceed the greater of amounts paid to us in the prior 12 months or $500. Service-related liability is governed by the applicable Service Agreement.

You agree to indemnify, defend, and hold harmless Kaedbae LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, violation of these Terms, or breach of any applicable law.

Kaedbae LLC is not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, fire, power outages, labor disputes, or supply-chain disruptions.

We may revise these Terms at any time by posting an updated version with a new "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration is the courts of Wayne County, Michigan.

Arbitration & Class-Action Waiver

Any dispute arising from these Terms or your use of the Site shall be resolved through binding individual arbitration. Both parties waive any right to a jury trial and agree that claims will proceed individually — not as class actions or representative proceedings. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us at admin@kaedbaellc.com.

• Entire Agreement — These Terms, our Privacy Policy, and any applicable Service Agreements constitute the complete agreement between you and Kaedbae LLC.
• Severability — If any provision is found unenforceable, the remaining provisions remain in full effect.
• No Waiver — Failure to enforce any provision does not waive our right to enforce it in the future.
• Assignment — You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale.
• Headings — Section headings are for organizational purposes only and have no legal effect.
